These Terms & Conditions (“Terms”) govern your use of our website, products, and services. By accessing our site or placing an order, you agree to be bound by these Terms.

1) Definitions

  • “Company”, “we”, “us” means OrangeMantra (trading as “Vishvakarma Traders”).
  • “Services” include web design/development, web/app engineering, UI/UX, digital marketing (SEO/PPC/SMM), white-label work, consulting, and maintenance.
  • “Client”, “you” means the individual or entity purchasing or using the Services.
  • “Deliverables” means work product produced under an order or statement of work (SOW).

2) Eligibility & Account

  • You must be at least 18 and have authority to bind your organization.
  • You are responsible for safeguarding account access, credentials, and payment instruments used on the site.

3) Services & Engagement

  • Work may be performed via fixed-price, time-and-materials, or retainer models as agreed in an order, proposal, or SOW.
  • Any timelines are estimates dependent on your timely inputs, approvals, and third-party dependencies.
  • We may use subcontractors/affiliates while remaining responsible for delivery.

4) Quotes, Orders & Payments

  • Quotes are valid for the period stated (or 14 days if unspecified). Scope changes may impact price and timeline.
  • Unless otherwise agreed: 50% advance to start, remaining milestones as per SOW. Work may pause if invoices are overdue.
  • Payments are processed through gateways like Razorpay and Stripe; gateway fees, chargebacks, or bank fees are your responsibility unless prohibited by law.
  • Invoices are deemed accepted unless disputed in writing within 7 days of receipt.

5) Subscriptions & Billing

  • Subscriptions (e.g., SEO, PPC management, Care plans) auto-renew monthly/yearly unless canceled before the renewal date.
  • Upgrades/downgrades take effect on the next billing cycle unless otherwise agreed.

6) Pricing, Taxes & Currency

  • Prices may be shown in INR (₹) and USD ($). Billing currency is as selected at checkout or on the invoice.
  • Indian orders may attract GST @ 18% where applicable. International orders may incur local taxes/duties per your jurisdiction.
  • Where relevant, USD/INR conversions use indicative rates; bank/processor FX rates may differ.
  • Third-party costs (themes, plugins, ads spend, SaaS fees) are billed at actuals unless included in your plan.

7) Delivery, Acceptance & Revisions

  • Deliverables are shared on staging or as files/links. If you don’t respond within 7 days, the milestone is deemed accepted.
  • Included revisions are as specified in your plan/SOW; additional rounds may be billed separately.
  • Migrations/launches typically occur during agreed windows; DNS/propagation is outside our control.

8) Cancellations & Refunds

  • Because Services are customized, completed milestones are non-refundable. Unused pre-paid work may be refunded at our discretion after deducting time/costs incurred.
  • Subscriptions can be canceled any time; charges already paid for the current term are non-refundable unless mandated by law.

9) Intellectual Property

  • Upon full and final payment, IP in the final Deliverables (excluding third-party materials, stock, fonts, frameworks) transfers to Client.
  • We retain rights in pre-existing tools, libraries, know-how, and generic components used to deliver the project.
  • Unless a specific NDA/whitelabel clause says otherwise, we may reference the project in our portfolio and case studies.

10) White-Label & Confidentiality

  • All non-public information shared by either party is Confidential and will not be disclosed except to personnel/contractors under similar obligations.
  • In white-label engagements, we act as your delivery partner; we will not contact your end-client directly without your written consent.
  • NDAs/SOWs prevail over conflicting provisions in these Terms.

11) Client Responsibilities

  • Provide timely content, brand assets, approvals, and access (hosting, DNS, analytics, ad accounts, etc.).
  • You are solely responsible for the accuracy and legality of content (e.g., claims in regulated industries such as healthcare/finance).
  • Maintain proper backups of your production data unless a Care/Maintenance plan explicitly covers backups.

12) Acceptable Use

  • No unlawful, harmful, defamatory, infringing, or misleading content.
  • No attempts to breach security, reverse engineer our systems, or misuse APIs.
  • We may refuse, suspend, or terminate Services that violate this policy.

13) Third-party Services

  • Services may depend on third-party platforms (hosting, CDNs, plugins, payment gateways, AI APIs). Their terms and outages are outside our control.
  • Licenses for paid third-party tools are your responsibility unless itemized in your order.

14) Warranties Disclaimer

EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED “AS IS”. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee rankings, traffic, revenue, or uninterrupted availability.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE AFFECTED SERVICE IN THE 3 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

16) Indemnification

You agree to defend, indemnify, and hold us harmless from claims arising out of your content, misuse of Services, or breach of these Terms.

17) Data Protection & Privacy

  • We process personal data according to our Privacy Policy. By using the Services, you consent to such processing.
  • Where applicable, we will sign reasonable data-processing addenda for controller-processor relationships.

18) Support & Maintenance

  • Care/Maintenance plans cover listed tasks only (updates, monitoring, backups, minor fixes). Larger changes are quoted separately.
  • SLA/response windows are best-effort unless a specific SLA is included in your plan.

19) Changes to Services/Terms

  • We may update Services or these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date.

20) Force Majeure

We are not liable for delays/failures due to events beyond reasonable control (e.g., natural disasters, war, labor disputes, utility failures, internet or cloud provider outages, governmental actions).

21) Governing Law & Disputes

  • These Terms are governed by the laws of India. Venue and exclusive jurisdiction shall be the courts at Coimbatore, Tamil Nadu.
  • Before litigation, parties will attempt good-faith resolution; failing which, disputes may be referred to arbitration in Coimbatore under the Arbitration & Conciliation Act, 1996, in English, by a sole arbitrator mutually appointed.
